Nexus Health Early Access License Agreement
This License Agreement (“Agreement”) governs your use of Nexus Health’s digital products, including but not limited to BaselineONE, BioMatrix, and the Couples Simulation Engine, during the platform’s Early Access Program.
By registering for or accessing Nexus Health’s services, you (“Licensee”) agree to the following terms:
1. License Grant
Nexus Health (“Licensor”) grants Licensee a non-exclusive, non-transferable, revocable licenseto access and use the Nexus Health platform for internal, non-commercial, non-diagnostic purposes, unless otherwise stated in a commercial contract.
This license includes:
- Use of AI-generated reports and dashboards
- Access to clinician tools and system scoring outputs
Permission to upload, view, and export user-specific data
2. Early Access Program Terms
You acknowledge and agree:
- The platform is in Early Access Program status and may contain errors, bugs, or incomplete features
- Nexus Health may modify or suspend access at any time
- No guarantee is made regarding performance, availability, or output accuracy during the Early Access Program
- Access is limited and by invitation only
3. Restrictions
You agree not to:
- Reverse engineer, decompile, or reproduce platform code or logic
- Use the platform for diagnostic or emergency medical decision-making
- Share platform access with unauthorized users or third parties
- Claim ownership over any generated outputs, algorithms, or frameworks
4. Data Use and Confidentiality
- You retain full rights to any data you upload or generate through your account
- Nexus Health may use anonymized, de-identified data to improve system performance and safety
- All uploaded data is subject to our Privacy Policy and stored in compliance with HIPAA and GDPR standards
5. Support & Feedback
- Early Access Program participants may receive access to dedicated onboarding, support, and training
- You may be invited to provide feedback or participate in research surveys
- All feedback submitted may be used to improve the platform without compensation or obligation
6. Termination
This Agreement remains in effect until:
- You stop using the platform; or
- Nexus Health revokes your access; or
- A formal commercial licensing agreement is executed
- Upon termination, you must cease all use and destroy any confidential platform materials.
7. Limitation of Liability
To the fullest extent permitted by law:
- Nexus Health is not liable for any loss, injury, or claim resulting from use of the platform during the Early Access Program
- All content and tools are provided “as is” without warranty of any kind
8. Governing Law
This Agreement is governed by the laws of the State of Arizona, without regard to its conflict of laws principles.
